STATUTES OF THE ASSOCIATION
"COOPERATION AMAZONIAN GUYANA-BRAZIL"
Article 1: Name
The association "Cooperation Amazonienne Guyane-Brésil" (C.A.G-B) was founded on October 23, 2023, among the members who adhere to these statutes. It is governed by the French law of July 1, 1901, on associations.
Article 2: Purpose
The association's purpose is to promote the development of activities in the primary, secondary, tertiary, and quaternary sectors to encourage exchanges and cooperation with neighboring countries of French Guiana.
2.1 Core Values
The association is guided by ethical and moral principles:

2.2 Target Audience
The association aims to serve children, women, the elderly, minorities, and disadvantaged individuals.

The association will undertake development programs, awareness campaigns, advocacy efforts, and direct services.
2.4 Geographical Scope
The association operates in French Guiana and Brazil.
2.5 Areas of Intervention
The association works in education, health, culture, human rights, humanitarian efforts, economy, real estate, and transboundary sports, among other relevant sectors.
Article 3: Headquarters
The association's headquarters is located at 36 rue des Sables, Résidence de la Plage – 97300 CAYENNE. The Board of Directors may decide to relocate it.
Article 4: Duration
The association is established for an indefinite period and may be dissolved under Article 10 provisions.
Article 5: Members
Membership is open to any individual or legal entity that supports the association's objectives. Membership is granted upon registration and payment of an annual fee.
5.1 Membership Requirements
Members must sign a membership form agreeing to abide by the statutes and internal regulations.
5.2 Loss of Membership
Membership may be revoked for non-compliance with the statutes or actions harmful to the association.
5.3 Membership Fees

Active members: Pay an annual fee of €10.

Honorary members: Recognized for significant contributions and exempt from fees.

Benefactor members: Pay an entry fee of €100 and an annual fee of €10.
Article 6: Loss of Membership
6.1 Membership is lost by:

Resignation

Death
-
Removal by the Board of Directors for non-payment or serious misconduct
6.2 Serious Misconduct Includes:

Ethical violations, corruption, abuse of power, discrimination, or violence

Actions contrary to the association's mission and values
6.3 Procedure for Exclusion

The concerned member is notified in writing and given 8 days to prepare a defense.

A hearing is held, and a written justification is provided for any exclusion decision.
Article 7: Internal Organization
The association is managed by a Board of Directors elected for a 3-year term. The board elects a President, Secretary, and Treasurer.
Article 8: General Assembly
The General Assembly (GA) meets annually to approve reports, accounts, and future directions.
8.1 Ordinary General Assembly

All members are invited at least 8 days in advance.

Decisions are made by majority vote.

A quorum requires a majority of members plus one.

Voting is done by a show of hands, except for board elections, which use secret ballots.
8.2 Extraordinary General Assembly
Called for urgent matters such as amendments to statutes, dissolution, or major financial decisions. The same rules apply as for an Ordinary GA.
Article 9: Financial Resources

Article 10: Dissolution
10.1 Reasons for Dissolution:

The association has met its objectives.

Insufficient financial resources.

A shift in priorities.

Legal non-compliance.

Lack of public interest or support.
10.2 Dissolution Process:

Decided by the General Assembly.

A liquidator is appointed.

Any remaining assets are allocated to a non-profit organization.
